Terms of Service

These Terms of Service ("Terms") govern your use of MarBoba (the "Service"), operated by SomexAI Applications Group ("SomexAI", "we", "us"). By signing up for, accessing, or using MarBoba you agree to these Terms. If you're accepting on behalf of an organization, you represent that you have the authority to bind that organization.

1. The Service

MarBoba is a software-as-a-service developer platform. We reserve the right to evolve, add, or remove features. Material changes affecting paid tiers will be announced at least 30 days in advance.

2. Your account

• You are responsible for keeping your login credentials secure and for all activity under your account.
• You must provide accurate account information.
• One person per account. Shared accounts aren't permitted; create an org and invite teammates.
• You must be at least 16 years old.

3. Acceptable use

You agree NOT to use MarBoba to:

• Host, deploy, or distribute malware, phishing content, or illegal material.
• Circumvent rate limits or abuse the API.
• Reverse-engineer, decompile, or attempt to extract source.
• Resell the Service or provide it as a managed service to third parties without a signed reseller agreement.
• Violate another party's intellectual property, privacy, or publicity rights.

We may suspend or terminate accounts that violate this section. We'll try to notify you first except in cases of urgent harm.

4. Your content

You own everything you store in MarBoba — project metadata, Vault items, feature flags, pipeline configs, notes. You grant SomexAI a limited license to host, process, and display that content solely to operate the Service. We never sell or share your content with third parties for marketing.

5. Your code + your VCS

MarBoba reads your repositories and pushes pipeline files with credentials you provide. You remain responsible for what ends up in your repos. If a pipeline MarBoba generated includes a bug, you can reject it and authoring your own workflow; we make no warranty that generated pipelines are defect-free for your specific production environment.

6. Billing

• Paid plans are billed monthly or annually in advance via Stripe.
• Fees are non-refundable except where required by law.
• You can upgrade any time (prorated), downgrade at renewal.
• If payment fails, we'll retry for 14 days and send reminders before suspending.

7. Cancellation

• You can cancel from the Billing screen at any time.
• On cancellation, paid features stop at the end of the current billing period. Feature Flag evaluations continue in "soft-stop" mode — every flag returns its default value until you reactivate.
• We keep your data for 90 days after cancellation so you can reactivate, then delete permanently.

8. Confidentiality

Each party will protect the other's confidential information with the same degree of care it uses for its own (at least reasonable care) and won't disclose it to third parties except as needed to perform under these Terms.

9. Warranty disclaimer

The Service is provided "AS IS". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability in any 12-month period is capped at the amount you paid for the Service during that period.

11. Indemnification

You agree to defend and indemnify SomexAI against claims arising from your content, your use of the Service, or your violation of these Terms. We'll notify you promptly and let you control the defense (with our reasonable cooperation).

12. Governing law + disputes

These Terms are governed by the laws of the state of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance. Continued use after the effective date constitutes acceptance.
